आवेदन-पत्र कम्पनी का मूलभूत दस्तावेज तथा कम्पनी के संविधान के समान है । आवेदन-पत्र में निम्न छ: कलमों का समावेश होता है ।

कम्पनी की रचना सन् 1956 के कम्पनी कानून के अनुसार होती है । आवेदन-पत्र में निम्न विवरण दर्शाया गया होता है जिसे आवेदनपत्र की धाराएँ कहते हैं ।

(i) नाम की धारा (Name clause)
(ii) रजिस्टर्ड ऑफिस की धारा (Domicile clause)
(iii) उद्देश्य की धारा (Object clause)
(iv) पूंजी की धारा (Capital clause)
(v) जिम्मेदारी की धारा (Liability clause)
(vi) स्थापना की धारा (Association clause)
अब हम इन धाराओं की विस्तारपूर्वक चर्चा करेंगे ।

(i) नाम की धारा : जिस नाम से कम्पनी धन्धा करना चाहती हो वह नाम आवेदन-पत्र में दर्शाना चाहिए । कम्पनी का परिचय, प्रतिष्ठा तथा लोकप्रियता उसके नाम के साथ संलग्न है । नई स्थापित कम्पनी, कम्पनी अधिनियम में दर्शायी गयी मर्यादा में रहकर कोई भी नाम रख सकती है ।

कम्पनी का नाम रखने से पहले निम्नलिखित बातें ध्यान में रखनी चाहिए :

(1) कम्पनी चाहे जो नाम रख सकती है पर दूसरी किसी चालू रजिस्टर्ड कम्पनी का नाम या किसी ऐसी कम्पनी का नाम नहीं रख सकती है जिसका दिवाला निकल चुका हो ।

(2) राष्ट्र या राज्य का सबसे बड़ा व्यक्ति अर्थात् राष्ट्रपति या राज्यपाल के साथ मिलनेवाला नाम नहीं रखा जा सकता है । जैसे
धी प्रेसीडेन्ट ऑफ इन्डिया लिमिटेड, धी गवर्नर ऑफ गुजरात लिमिटेड ।

(3) सरकार के नाम से मिलता-जुलता या सरकारी नीति-विरोधी नाम नहीं रखा जा सकता है । युनाइटेड नेशन्स लिमिटेड जैसा नाम नहीं रखा जा सकता है ।

(4) कानून के अनुसार शेयर से मर्यादित प्रत्येक सार्वजनिक कम्पनी को अपने नाम के पीछे लिमिटेड शब्द तथा शेयर पूंजी से मर्यादित प्रत्येक निजी कम्पनी को अपने नाम के अंत में ‘प्राइवेट लिमिटेड’ शब्द लगाना जरूरी है ।

(5) यदि कम्पनी की अधिकांश: पूंजी-विदेशी शेयरधारकों के द्वारा दी गयी हो तो विदेशी विनिमय संचालन कानून के अन्तर्गत (FEMA – Foreign Exchange Management Act) सार्वजनिक कम्पनी को अपने नाम के पीछे लिमिटेड और निजी कम्पनी को प्राइवेट लिमिटेड शब्द के आगे ‘इंडिया’ शब्द लगाना पड़ता है । जैसे : पॉफन्डस इन्डिया लिमिटेड, सेल्युलोझ प्रोडक्ट ऑफ इंडिया लिमिटेड ।

(6) (A) कम्पनी अधिनियम सन् 1960 के सुधार के अनुसार कोई भी कम्पनी जन-कल्याण के उद्देश्य से या कला, विज्ञान, धर्म, इत्यादि उद्देश्य से अस्तित्व में आई हो तो कम्पनी अपने नाम के अंत में लिमिटेड या प्राइवेट लिमिटेड शब्द लगाने से सरकार से मुक्ति प्राप्त कर सकती है ।

(B) इसके अलावा कम्पनी जन-कल्याण का कार्य न करे फिर भी वह अपना लाभ कभी भी डिविडन्ड के रूप में वितरण नहीं करेगी ऐसा केन्द्र सरकार को विश्वास दिलाए तब वह लिमिटेड शब्द लगाने से मुक्ति प्राप्त कर सकती है ।

(7) कम्पनी का नाम निश्चित हो जाने के बाद कम्पनी जहाँ धन्धा करती हो वहाँ तथा कम्पनी के रजिस्टर्ड ऑफिस में यह नाम स्पष्ट बड़े अक्षरों में लिखवाना चाहिए तथा उस क्षेत्र के लोगों की मुख्य भाषा में भी लिखा होना चाहिए ।

(8) कम्पनी की रजिस्टर्ड मुहर (Seal) में भी यह नाम लिखवाना चाहिए तथा कम्पनी के सभी पत्र, परिपत्र, दस्तावेज इत्यादि में यह नाम और रजिस्टर्ड ऑफिस का पता लिखाना आवश्यक है ।

(ii) रजिस्टर्ड ऑफिस की धारा : कम्पनी अधिनियम के अनुसार प्रत्येक कम्पनी को आवेदन-पत्र में अपनी रजिस्टर्ड ऑफिस का पता बताना होता है । यदि पता न . बताया गया हो तो कम से कम राज्य का नाम तो दर्शाना ही पड़ता है । यदि आवेदन-पत्र में राज्य का नाम दर्शाया गया हो तो पंजीयन का प्रमाणपत्र मिलने के 30 दिन के अंदर अथवा कम्पनी जिस दिन धन्धा प्रारंभ करे इन दोनों में से जो तारीख पहले आती हो उस तारीख तक रजिस्टर्ड ऑफिस का पता कम्पनी रजिस्ट्रार के समक्ष दर्ज कराना पड़ता है । जिस स्थल पर कम्पनी से सम्बन्धित सभी दस्तावेज प्राप्त हो सकें, जिस स्थल पर कम्पनी के साथ एक व्यक्ति के रूप में कानूनन सभी व्यवहार हो सकें, जिस स्थल से कम्पनी सम्बन्धित पत्र-व्यवहार हो सकता हो उस स्थल का पता आवेदन-पत्र में लिखा जाता है । आवेदन-पत्र में दर्शाया गया पता पंजीयन-अधिकारी दर्ज करते हैं इसलिए इसे रजिस्टर्ड पता कहते हैं ।

रजिस्टर्ड ऑफिस के पते का महत्त्व निम्न कारणों से स्पष्ट है :

  1. रजिस्टर्ड ऑफिस के पते से कम्पनी की राष्ट्रीयता निश्चित होती है । जिस पर से कम्पनी को कौन-से देश का कानून लागू होगा यह निश्चित किया जाता है ।
  2. रजिस्टर्ड ऑफिस का पता अदालत का अधिकार-क्षेत्र निश्चित करता है ।
  3. कम्पनी कानूनन स्थापित कृत्रिम व्यक्ति है । इसलिए कम्पनी के सदस्य, लेनदार, सरकार और कम्पनी रजिस्ट्रार कम्पनी के साथ किस पते पर पत्र-व्यवहार करेंगे इसके लिए पता आवश्यक है ।
  4. किस राज्य के रजिस्ट्रार के पास कम्पनी को अपने दस्तावेजों तथा पत्रकों को पंजीकृत कराना होगा हम यह जान सकते हैं । इस प्रकार कौन-सी कम्पनी अपने अधिकार-क्षेत्र में आती है यह रजिस्ट्रार भी निश्चित कर सकते हैं ।
  5. कानून के अनुसार रखे जानेवाले रजिस्टर, पत्रक, चौपड़ा वगैरह रजिस्टर्ड ऑफिस में रखने पड़ते हैं । जो सदस्यों तथा आम जनता की जाँच के लिए निर्धारित समय में जाँच के लिए खुला रखने पड़ते हैं ।

(iii) उद्देश्य (ध्येय) की धारा अर्थात् आवेदन-पत्र की सबसे महत्त्वपूर्ण धारा : आवेदन-पत्र की यह सबसे महत्त्वपूर्ण धारा है । कंपनी को इस धारा की रचना में खूब दीर्घ दृष्टि रखनी चाहिए । कम्पनी के ध्येय को ध्यान में रखकर ही आम जनता कम्पनी में विनियोग करने के लिए प्रेरित होती है । भविष्य में भी कम्पनी क्या करना चाहती है – इस बात को भी इस धारा में पहले से ही दर्शा देना चाहिए । इस धारा में निम्नलिखित बातों के संदर्भ में स्पष्टता होती है।

(1) कार्यक्षेत्र : कम्पनी की स्थापना जिस उद्देश्य से की गयी है उस मुख्य उद्देश्य, गौण उद्देश्य तथा इनके अलावा अन्य उद्देश्य हों तो . स्पष्ट रूप से उन्हें भी सूचित करना चाहिए । इस पर कम्पनी का कार्य-क्षेत्र निश्चित होता है । कम्पनी अपने कार्यक्षेत्र से बाहर का कार्य या प्रवृत्ति नहीं कर सकती है ।

(2) उद्देश्य : इस धारा के निम्न दो उद्देश्य हैं :
(अ) इस कम्पनी के शेयरधारक अपनी पूंजी किस प्रवृत्ति में लगा रहे हैं हम यह जान सकते हैं । प्रवृत्ति के आधार पर कम्पनी के मुनाफे का अंदाज लगा सकते हैं । इसलिए कम्पनी के मालिकों के लिए यह महत्त्वपूर्ण धारा है ।
(ब) इस धारा द्वारा कम्पनी की सत्ता तथा अधिकार-क्षेत्र निश्चित होने से कम्पनी के साथ सम्बन्ध रखनेवाले व्यक्तियों को ख्याल आता है कि कम्पनी की सत्ता कितनी है । कम्पनी का उद्देश्य जानने के बाद कम्पनी के साथ सम्बन्ध रखना या नहीं यह व्यापारी, लेनदार या बैंक निश्चित करते हैं ।

(3) सत्ता बाहर के कार्य (Ultra Vires) : कम्पनी की इस धारा में न दर्शाया गया हो ऐसा कोई भी कार्य शेयरधारकों की सर्वानुमति से भी कंपनी नहीं कर सकती है । इस धारा में निश्चित किये कार्यों के अलावा यदि कम्पनी कोई भी कार्य करती है तो उसे (Ultra Vires) कहते हैं । अर्थात् सत्ता बाहर का कार्य कम्पनी के लिए बंधनकर्ता नहीं है । ऐसा कार्य करनेवाला व्यक्ति या अधिकारी उसके लिए जिम्मेदार है ।

(4) स्पष्टता : यह धारा हमेशा स्पष्ट होनी चाहिए । अस्पष्ट उद्देश्य की धारा कम्पनी को हमेशा के लिए कठिनाई में डाल सकती – है । इसीलिए कम्पनी उद्देश्य की धारा में पर्याप्त विशाल कार्य-क्षेत्र का समावेश करती है ।

(5) कानूनी व्यवस्था : कम्पनी का उद्देश्य कानून के विरुद्ध या देश के किसी भी कायदे का उल्लंघन करनेवाला या राष्ट्रीय हितों के विरुद्ध नहीं होना चाहिए । जैसे, गुजरात राज्य में शराब का निषेध है, इसलिए गुजरात में शराब उत्पादन के उद्देश्य से कम्पनी की स्थापना । नहीं की जा सकती है ।

(iv) पूंजी की धारा :

पूंजी की धारा में निम्नलिखित विवरण के संदर्भ में स्पष्टता होती है ।

  1. जो कम्पनी अंश पूंजी से स्थापित होती है उसके आवेदन-पत्र में पूंजी की कलम का समावेश होता है । (शेयर द्वारा मर्यादित कम्पनी)
  2. कम्पनी की कुल अधिकृत पूंजी कितनी है और किन-किन प्रकार के शेयरों में विभाजित है और शेयर की छपी हुई (दार्शनिक Face Value) कीमत कितनी है इसे इस धारा में दर्शाया जाता है ।
  3. अधिकृत पूंजी से अधिक शेयर कम्पनी निर्गमित नहीं कर सकती । इस अधिकृत पूंजी के आधार पर कम्पनी को रजिस्ट्रेशन फीस चुकानी पड़ती है ।
  4. कम्पनी अधिकृत पूंजी से कम शेयर निर्गमित कर सकती है ।
  5. यदि कम्पनी प्रेफरन्स शेयर निर्गमित करना चाहती हो तो उस पर चुकाया जानेवाला डिविडन्ड तथा प्रेफरन्स शेयर के प्रकार
    दर्शाने होते हैं ।
  6. कम्पनी नोटिस में, वर्तमान पत्रों में, विज्ञापन में, प्रकाशन या पत्रव्यवहार में अथवा वार्षिक हिसाबों में जहाँ अधिकृत पूंजी दर्शाती है उसके साथ निर्गमित और वसूली गयी (Paid up) पूंजी भी दर्शानी होती है ।

(v) जिम्मेदारी की धारा :

(1) इस धारा में स्थापकों द्वारा यह स्पष्ट किया जाता है कि “कम्पनी के शेयरधारकों की जिम्मेदारी मर्यादित रहेगी ।” शेयरधारकों द्वारा खुद धारण किए (खरीदे) शेयर की दार्शनिक कीमत या निर्गमित कीमत की अपेक्षा कुछ भी अतिरिक्त नहीं चुकाना है ।

(2) पूंजी द्वारा लोगों को आकर्षित करने और लोगों में विश्वास प्रेरित करने के लिए मर्यादित जिम्मेदारीवाली कम्पनी के मैनेजिंग डायरेक्टर या डाइरेक्टरों वगैरह की जिम्मेदारी की इस धारा में स्पष्टता करके उसे अमर्यादित रख सकते हैं ।

(3) गारन्टीवाली मर्यादित कम्पनी में अंशधारियों ने कम्पनी की स्थापना के समय जितनी रकम चुकाने की गारंटी दी हो उतनी रकम तक उनकी जिम्मेदारी मर्यादित रहती है ।

(4) अमर्यादित जिम्मेदारीवाली कम्पनी के सदस्यों की जिम्मेदारी उनकी संमति के बिना बढ़ा नहीं सकते परन्तु निजी कम्पनी में दो से और सार्वजनिक कम्पनी में सात से कम सदस्य हों और उसके बाद 6 मास से अधिक समय के लिए कम्पनी अपना धंधा चालू रख्खे और इस बात की जानकारी कम्पनी के सदस्यों को हो तो अतिरिक्त समय के दरम्यान हुए कम्पनी की जिम्मेदारी चुकाने के लिए सदस्य जिम्मेदार बनते हैं ।

(vi) स्थापना की धारा : आवेदन-पत्र की इस अंतिम धारा में सार्वजनिक कम्पनी में कम से कम सात और निजी कम्पनी में कम से कम दो सदस्यों को निम्नानुसार निवेदन देते हैं ।

“जिनके नाम और पते नीचे निर्दिष्ट हैं, आवेदन-पत्र के आधार पर हम एक ज्वाइन्ट स्टॉक कम्पनी स्थापित करने की इच्छा रखते हैं और प्रत्येक सदस्य अपने नाम के सामने निर्दिष्ट शेयर खरीदने के लिए तैयार है ।”

प्रवर्तकों को अपने हस्ताक्षरों की सच्चाई की गवाही के लिए साक्षी के समक्ष हस्ताक्षर करने पड़ते हैं । प्रवर्तक आपस में एक-दूसरे के गवाह नहीं बन सकते हैं । इसलिए कोई अन्य व्यक्ति ही गवाह होना चाहिए । ऐसी सही करनेवाले स्थापकों को अपने नाम, पते, उम्र, धन्धा वगैरह जानकारी बतानी पड़ती है । आवेदन-पत्र में सही करनेवाले कम्पनी के आद्यस्थापक कहे जाते हैं । अन्य संचालकों की नियुक्ति होने तक संचालन के रूप में चालू रहते हैं ।

समीक्षा : आवेदन-पत्र कम्पनी का अति महत्त्वपूर्ण मूलभूत तथा अफर दस्तावेज है । जिस पर कम्पनी की संपूर्ण इमारत अस्तित्व रखती है । कम्पनी ही नहीं परन्तु शेयर धारक, भावि विनियोजक, लेनदार, व्यापारी, सरकार, आम जनता आदि सभी के लिए यह महत्त्वपूर्ण दस्तावेज है ।

In a joint family business all the powers are vested in the ‘Karta’ and he is the only representative of the family who can contract debts or bind his coparceners by acts done in the ordinary course of business, there being no mutual agency between various coparceners. 

7. Liability of members: In partnership, the liability of the partners is joint and several as well as unlimited. In other words, each partner is personally and jointly liable to an unlimited extent and if partnership liabilities cannot be fully discharged out of the partnership property each partner’s separate personal property is liable for the debts of the firm. In a Joint Hindu family business only the ‘Karta’ is personally liable to an unlimited extent, i.e., his self-acquired or other separate property besides his share in the joint family property is liable, for debts contracted on behalf of the family business. Other coparceners’ liability is limited to the extent of their interest in the joint family property and they do not incur any personal liability.

2. Protection of Rights: The rights and privileges of new partner are also protected in registered firm. But if incoming partner fails to register himself, he will incur great risk, because he will not be in a position to file suit for his dues against his firm or his copartners. 

3. Protection of Property: The property of the retired or deceased partner continues to be liable for the acts firm does after his death or retirement until public notice is served for the change to registrar, So there is strong inducement for partners of registered firms to have the changes noted in the register. But if there is unregistered firm, the private property of the out-going partner will be considered liable to charge the debts in spite of retirement.
