Solve : HELP  Windows Wont Start?

When I first turn my computer on I SEE this on the first screen:

Cannot find a device file that may be needed to run Windows or a Windows Application.
The windows REGISTRY or SYSTEM.INI file refers to this device file, but the device file no longer exists.
If you deleted this file on purpose, try uninstalling the associated application using its uninstall or setup program.
If you still want to use the application associated with this device file, try reinstalling that application to replace the missing file.

Once I press a key, I get:

While initializing device CONFIGMG:
Windows protection error.  You need to restart your computer.

I do the CTRL + ALT + Delete thing and I am brought to the screen where I choose Safe Mode, Normal, Command Prompt, etc.

I've tried every option and Safe Mode and Command Prompt are the only 2 that will do anything for me.  I'm clueless as to what to do in Command Prompt and as SOON as Safe Mode starts I get an Explorer message that it has preformed an illegal operation and will be SHUT down.  Under details, it lists:

The SHELL32.DLL file cannot start.
Check the file to determine the problem.

I click OK and am left at a blank safe mode screen with no options anywhere.

I know I'd probably be better off just junkin' this thing and buying a new one, but I've got more time than money.  Only problem is I don't know what to do with this crazy thing....lol

Missing MrtRate.vxd Error Message When You Start the Computer

First of all you should run MemTest86 overnight to see if your RAM is producing any errors leading to data corruption.

Make a MemTest86 bootdisk up on another computer. Take a look at the link below and make the other bootdisks up as well as they could come in handy. You just need ten floppy diskettes. (One pack.)

If MemTest reports errors try re-seating the RAM module(s) and run the test again.

If the test comes up error-free then boot to your XP CD and load the Recovery Console.

Then type - chkdsk /r - and see if that improves matters.

How are you doing on anti-virus and anti-Trojan protection?
What operating system and do you have a legal CD of Windows to do a reinstall? That is probably your best bet for a lot of reasons.
