Solve : Error code oxo2cf2ed3 - ie crashes!!?

I have WINDOWS XP
when browsing any WEBSITES I get the following pop-up:
 
    The instruction at OXO2CF2ED3 referenced memory of OXOOOOOOOO.
The memory could not be read.

I click "ok" and the entire WINDOW closes.  (Internet EXPLORER)

I would appreciate any HELP!  Thanks!You can troubleshoot by starting IE with no addons.
