Q.8.A applied for shares in a company. A withdraw his offer on 26th October. His letter ofwithdrawal was received by the company at 11:30 am on 27th October. But on 27th Octoberat 10:00 am, the company had already resolved to allot the shares to A, and the letter ofallotment (acceptance) was given to a peon to post, but the letter was not actually posted till11:30 am. Discuss whether A's revocation of an offer is valid?Hint: The revocation is valid. The acceptance was too late as the letter was not actuallyposted till the offer had been revoked. But, if the letter of acceptance had been actuallyposted before the letter of revocation reached the company (i.e. before 11:30 am) theacceptance would have been binding [London and Northern Bank vs Jones). It may be notedthat a revocation is effective only when it is brought to the notice of the person to whom it ismade. |
