Answer» The doctrine of Indoor Management states that persons entering into a contract with the company need not inquire whether the company or its officers have properly followed the internal proceedings. It is assumed that the company acts as per its Memorandum and Articles of Association. The doctrine of Indoor Management protects the interest of outsiders when they act based on the Memorandum of Association and Articles of Association.
